Terms and conditions

1. Scope and parties
These terms govern every contract between the company that operates humanizertools.com ("we") and a customer ("you") for listing, reviewing or featuring a software tool. Our full company name, registered address and VAT number are shown on the payment page and on the invoice, before you pay; ask at billing@humanizertools.com if you need them beforehand. Your own general terms do not apply, even if we do not object to them.
2. What we sell
We sell editorial attention, not a result. Specifically:

Prices include any applicable VAT. Payment is processed by Stripe; the invoice is issued automatically.
3. What is expressly not owed
No tier, add-on or payment creates any entitlement to: publication of a listing; a particular score or review outcome; a position in any list or ranking; a minimum number of impressions, clicks, leads, enquiries or sales; a dofollow link; indexing by any search engine; or the removal of an accurate statement. Any statement about reach is an estimate, never a promise.
4. Formation and process
A contract forms when you submit the form and, for paid tiers, complete payment. The process then runs: automatic precheck, payment, ownership proof, editorial review, publication. If the precheck fails, no contract for a paid service comes into existence and nothing is charged.
If the ownership proof does not arrive within 14 days, we close the case and refund any payment in full.
5. Your obligations
- You are entitled to submit the tool and to grant us the rights below.
- Your statements are accurate and not misleading.
- The material you upload does not infringe third-party rights.
- You tell us without delay when something material changes: the price, the ownership, the retention policy, or the discontinuation of the product.
6. Rights in the material you send
You grant us a non-exclusive, worldwide, royalty-free right to use the logo, screenshots and descriptions you submit for the purpose of publishing and promoting the listing, including in the newsletter and on social media. You may withdraw this for future use by asking us to remove the listing.
7. Editorial independence
The review, the score and the ordering of listings are editorial decisions and are not part of what you purchase. We may publish findings unfavourable to you. We may reject a tool after reviewing it. We may correct or update a listing at any time. The editorial policy forms part of these terms.

Mandatory statutory rights are unaffected by this clause.
9. Featured placement
A featured slot runs for the number of days stated at purchase, beginning at publication. It does not renew automatically. Placement is labelled as advertising and the outbound link carries rel="sponsored". If we cannot deliver the placement for technical reasons, we extend it by the lost days or refund that portion.
10. Rechecks, suspension and removal
Verified listings are rechecked every 180 days at no cost. We may suspend the badge where a published statement is demonstrably no longer true, after contacting you. We may remove a listing, with 7 days' notice, where the tool no longer meets the listing requirements, the site is gone, or you are in serious breach of these terms. Removed URLs return status code 410.
11. Liability
We are liable without limitation for intent and gross negligence, and for injury to life, body or health. For slight negligence we are liable only for breach of an essential contractual obligation, and then limited to the foreseeable damage typical of this type of contract, capped at the amount you paid for the service concerned. We are not liable for lost profits, lost traffic, or the consequences of a search engine's ranking decisions.

12. Changes to these terms
We may change these terms for future contracts. The version in force at the time of your order applies to that order. Material changes affecting an ongoing service are notified by email at least 30 days in advance, and you may terminate that service if you do not accept them.
13. Governing law and jurisdiction
Swiss law applies, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction is Zurich, Switzerland. Mandatory consumer protection provisions of your country of residence remain unaffected.
14. Severability
If a provision is or becomes invalid, the remainder stays in force, and the invalid provision is replaced by one that comes closest to its commercial purpose.
